Bylaws of the Rotary Club of UTTARA
Club bylaws supplement the Standard Rotary Club Constitution and establish common club practices. The bylaws in this document are recommendations. Customize them to reflect your club’s practices, and confirm that they are not in conflict with the RI Constitution and Bylaws, the Standard Rotary Club Constitution (except where permitted), and the Rotary Code of Policies. Articles that your club is required to include are noted below.
Article 1 Definitions

- Board: The club’s board of directors
- Director: A member of the club’s board of directors
- Member: A member of the club, other than an honorary member
- Quorum: The minimum number of participants who must be present when a vote is taken: one-third of the club’s members for club decisions and a majority of the directors for club board decisions.
- RI: Rotary International
- Year: The 12-month period that begins on 1 July.

Article 2 Board
The governing body of this club shall be the board consisting of 21 (Twenty One) members of this club, namely, the President, Immediate Past President, President-Elect (or president-nominee, if no successor has been elected), Vice-President– 2 (two) in numbers (Vice president 1 & 2), Secretary, Treasurer, and the Sergeant-at-Arms. At the discretion of the board, also add the 5 (Five) directors elected in accordance with article 3, section 1 of these bylaws & also elect 1 (One) Club Trainer, 2 (Two) Joint Secretary, 1 (One) Joint Treasurer, 1(One) Bulletin Editor, 2 (two) Joint Sergeant At Arms, 1 (one) Joint Bulletin Editor in accordance with article 3, section 2 of these bylaws.
Article 3 Elections and Terms of Office
Section 1 — One month before elections, members nominate candidates for president, vice president – 2 in nos, secretary, treasurer, and 05 (Five) director positions. The nominations may be presented by a nominating committee, by members from the floor, or both. The candidate for president elected in such balloting shall be the president-nominee. The president-nominee shall take the title of president-elect on the first day of July next following the election, and shall serve as an officer during that year. On 1 July immediately following that year, the president-elect shall assume office as president. The officers and directors shall constitute the board. Within one week after their election, the directors-elect shall meet and elect some member of the club to act as sergeant – at – arms.
The elect board will also elect 1 (One) Club Trainer, 2 (Two) Joint Secretary, 1 (One) Joint Treasurer, 1(One) Bulletin Editor, 2 (two) Joint Sergeant At Arms, 1 (one) Joint Bulletin Editor, they will also be the members of the board.
Section 2 —The candidate who receives a majority of the votes for each office is declared elected to that office.
Section 3— If any officer or board member vacates his or her position; the remaining members of the board will appoint a replacement.
Section 4 —If any officer-elect or director-elect vacates a position, the remaining members of the board-elect will appoint a replacement.
Section 5—The terms of office for each role are:
President — one year
Vice President (1 & 2) — From 1st of July to 30th June of each Rotary Year.
Secretary — From 1st of July to 30th June of each Rotary Year.
Treasurer — From 1st of July to 30th June of each Rotary Year.
Director (5 in nos)— From 1st of July to 30th June of each Rotary Year.
Sergeant-at-arms —From 1st of July to 30th June of each Rotary Year.
Article 4 Duties of the Officers
Section 1 —The president presides at club and board meetings.
Section 2 —The immediate past president serves as a director on the club board.
Section 3 —The president-elect prepares for his or her year in office and serves as a director.
Section 4 —The vice president presides at club and board meetings when the president is absent.
Section 5 —A director attends club and board meetings.
Section 6—The secretary keeps membership and attendance records.
Section 7—The treasurer oversees all funds and provides an annual accounting of them.
Section 8 —The sergeant-at-arms maintains order in club meetings.
Article 5 Meetings
Section 1 —An annual meeting of this club is held no later than 31 December to elect the officers and directors who will serve for the next Rotary year.
Section 2 —This club meets as follows: Every Friday of each month at 10:30 AM. Reasonable notice of any change or cancellation of the regular meeting will be given to all club members.
Section 3 —Board meetings are held each month. Special meetings of the board are called with reasonable notice by the president or upon the request of two directors.
Article 6 Dues
Annual club dues are decided by the club from time to time. They are paid as follows: 2 quarterly ( July – December & January – June). Annual club dues include RI per capita dues, a subscription to The Rotarian or a Rotary regional magazine, district per capita dues, club fees, and any other Rotary or district per capita assessment.
Article 7 Method of Voting
The business of this club is conducted by voice vote or a show of hands except in the election of officers and directors, which is conducted by ballot. The board may also provide a ballot for a vote on some resolutions.
Article 8 Committees
Section 1 — Club committees coordinate their efforts to achieve the club’s annual and long-term goals. Each club should have the committees listed in article 11, section 7, of the Standard Rotary Club Constitution.
Section 2—The president is an ex officio member of all committees and, as such, has all the privileges of membership.
Section 3—Eachcommittee’s chair is responsible for the regular meetings and activities of the committee, supervises and coordinates its work, and reports to the board on all committee activities.
Article 9 Finances
Section 1 —Before each fiscal year starts, the board prepares an annual budget of estimated income and expenditures.
Section 2 — The treasurer deposits club fundsin a financial institution or institutionsdesignated by the board, divided into two accounts: one for club operations and one for service projects.
Section 3 —Bills are paid by the treasurer or another authorized officer and approved by two other officers or directors.
Section 4 — A qualified person conducts a thorough annual review of all financial transactions.
Section 5 —Club members will receive an annual financial statement of the club. A mid-year financial report, with current and previous year income and expenses, is presented at the annual meeting.
Section 6 — The fiscal year is from 1 July to 30 June
Article 10 Method of Electing Members
Section 1 —A member proposes a candidate for membership to the board, or another club proposes one of its transferring or former members.
Section 2 —The board approves or rejects the candidate’s membership within 30 days and notifies the proposing member of its decision.
Section 3—If the board approves the candidate’s membership, the prospective member is invited to join the club.
Article 11 Amendments
These bylaws may be amended at any regular club meeting. Changing the club bylaws requires sending written notice to each member 21 days before the meeting, having a quorum present for the vote, and having two-thirds of the votes support the change. Changes to these bylaws must be consistent with the Standard Rotary Club Constitution, the RI Constitution and Bylaws, and the Rotary Code of Policies.
Article 12 Membership

- Active: These members enjoy all the benefits, opportunities, and responsibilities of Rotary. Requirements include: A person who possesses the qualifications in article 5, section 2 of the RI constitution may be elected as an active club member.

- Honorary: This club may elect honorary members for terms set by the board, who shall:

(a) be exempt from paying dues;
(b) not vote;
(c) not hold any club office;
(d) not hold classifications; and
(e) be entitled to attend all meetings and enjoy all other privileges in the club, but have no rights or privileges in any other club, except to visit without being a Rotarian’s guest.

- Corporate: Recognizing the growing importance that businesses place on corporate social responsibility, the club has created a corporate membership option. Corporations can take part in projects that give back to the community through Rotary’s well-organized structure. Club offers a corporate membership program for businesses, professional practices, government entities, educational institutions, and any other organizations as approved by Board with following requirements:

- Qualifications. The employees who are the CEO / Head of management of any business are eligible for corporate membership in the Club.

- Members. Subject to the approval of the club’s board, the business designates employees to serve as members of the Club and appoint 01 (one) People to be primary member or alternates.

- Attendance. Attendance and participation requirements of the club may be met by any of the members. All members (primary and alternates) are entitled to attend any regular meeting of the club or any other Rotary club as determined by the club.

- Dues. Dues for the corporate membership will be determined by the Board time to time. It will be minimum of taka 2, 00,000/- (Two Lacs taka) per annum until otherwise determined by the board. If more than one corporate member attends the same Rotary meeting, the additional members will be required to cover the cost of their meals.

- RI registration. Primary corporate members for whom RI dues have been paid are registered as active members in Rotary’s database. They will be listed as official members of the club and noted in the roster as primary corporate members of the named business. Alternate corporate members for whom RI dues have not been paid are not listed on the club roster in Rotary’s database.

- Votes and quorum. For the purpose of general meetings and club matters, the primary corporate member is eligible to vote. Since the corporation has one primary member that is reported as an active, RI dues-paying member, it will have only one vote which will be made by the designee attending the meeting at which the vote is taken.

- Holding office. Any RI dues-paying member listed in Rotary’s database, which includes the primary corporate member, is eligible to hold office. Alternates who do not pay RI dues are not eligible.
